1. Agreement; Scope

1.1 These Terms of Service ("Terms") govern your access to and use of the SEALessons.com website, learning management system, on-demand video lessons, marketplace for used textbooks and supplies, parent support portal, discussion forum, directory of extracurricular activities, and related features provided by LingoClinic ("we", "us", "LingoClinic").
1.2 Important: SEALessons.com is a marketplace and content platform only. SEALessons.com does not provide scheduled live lessons. Live lessons are offered instead on other properties (for example SEALessons.guru) and by third-party tutors/advertisers. If you wish to attend live lessons, follow the booking or site link to the live-lesson product. By using SEALessons.com you accept these Terms and our Privacy Policy. If you do not accept these Terms, do not use SEALessons.com.


2. Definitions

  • Parent / Customer: Adult (18+) who creates an Account and uses SEALessons.com services on behalf of a Student.
  • Student: The child for whom a Parent registers an Account or accesses Content.
  • Account: The Parent’s registered user account on SEALessons.com.
  • Content: On-demand video lessons, downloadable materials, Captivate modules, forum posts, marketplace listings, directory listings, images, and other resources provided on SEALessons.com.
  • Tutor / Advertiser: A user or third party who lists services, classes, activities or materials on SEALessons.com.
  • Marketplace Transaction: A sale, listing or booking initiated via SEALessons.com between users or between users and advertisers.

3. Eligibility; Parent-Only Accounts; Consent

3.1 Only adult parents or legal guardians (18 years or older) may create Accounts and register Students. By creating an Account you represent and warrant that you are the Student’s parent or legal guardian and have authority to provide consent on the Student’s behalf.
3.2 At signup you must provide true and accurate information and explicit consent for LingoClinic to provide on-demand Content, host marketplace listings, and to process Student and Parent data as described in the Privacy Policy. We keep auditable consent records (parent account ID, timestamp, IP, consent text version).
3.3 You may withdraw consent via the Parent Portal; withdrawal does not retroactively erase lawful processing already completed.


4. Platform Purpose; Third-Party Live Lessons Clarification

4.1 SEALessons.com is a platform that provides: (a) a library of on-demand video lessons for SEA Math and English (ELA, ELA Writing); (b) an LMS for structured study and practice; (c) a parent support portal and discussion forum; (d) a marketplace for buying/selling used textbooks, supplies and services; and (e) a directory of extracurricular activities (martial arts, sports, art, clubs).
4.2 SEALessons.com does not host scheduled live group or 1:1 lessons. Third-party tutors/advertisers listed on SEALessons.com may offer live lessons independently (on other domains or platforms). Where a Tutor advertises live lessons, the listing will indicate how and where those live lessons are delivered. LingoClinic is not the operator of those third-party live sessions unless explicitly stated.


5. Content Access, Licensing & Use

5.1 On-demand video lessons and Content on SEALessons.com are owned or licensed by LingoClinic. Parents and Students receive a limited, non-exclusive, non-transferable license to view Content for personal, non-commercial educational use in accordance with these Terms.
5.2 Content may include videos that show Tutors delivering instruction. Parents who register Students grant LingoClinic rights to use Content as described in Section 8 (Recordings & Marketing Use).
5.3 You may not reproduce, share publicly, redistribute, or sell Content without LingoClinic’s prior written permission. User sharing outside permitted personal use is a breach of these Terms.


6. Marketplace Listings; Advertiser Roles; Parent Responsibility

6.1 SEALessons.com allows tutors, teachers, club operators, and individuals to post listings for services, events, and goods (including used textbooks). LingoClinic performs vetting checks (qualification and background checks where available) to help improve safety.
6.2 Disclaimer: Even though we perform vetting, Parents bear full responsibility for verifying and deciding whether to hire or engage any Tutor, club, or seller. LingoClinic is a platform and is not the employer, agent, or supervisor of advertisers. Exercise due diligence before transacting.
6.3 Any contract for a service booked via an advertiser is directly between the Parent and the advertiser unless LingoClinic explicitly states otherwise in writing.


7. Pricing, Subscriptions, Billing & Payment Terms

7.1 Prices, subscription fees (e.g., access to the SEALessons.com video library), and checkout terms are published on the site and at the point of purchase. Payment is due in advance unless otherwise specified. You authorise LingoClinic to charge your payment method. Third-party payment processor terms also apply.
7.2 Subscriptions and access (for example a TT$79/month content subscription) are subject to the subscription terms shown at signup. LingoClinic may change pricing or subscription terms with prior notice except where prohibited by applicable law.


8. Refunds, Cancellations & Access — No Live Session Rules Applied

8.1 Because SEALessons.com delivers on-demand Content and marketplace services (and does not host live lessons), the following refund rules apply to Content access and marketplace purchases:
8.2 7-Day Satisfaction Exception for Content Access: Within 7 calendar days of first access to paid on-demand Content or subscription activation, a Parent may request a full refund by completing the satisfaction survey in the Parent Portal and submitting a refund request within the 7-day window. Approved refunds will be processed within 30 days following successful application and completion of the survey. This is the only routine refund right; other refund requests are at LingoClinic’s discretion.
8.3 Marketplace purchases: Purchases of used goods via the marketplace are user-to-user transactions. Refunds for marketplace goods are governed by the seller’s terms; LingoClinic is not responsible for marketplace item conditions or fulfilment unless LingoClinic is the seller. Exercise caution when buying used goods.
8.4 No refunds or credits for third-party live lessons: If you purchase or book live lessons directly with a Tutor/Advertiser that takes place on a different platform (for example SEALessons.guru or a tutor’s own site), refund/cancellation rules for those live lessons are set by the Tutor/Advertiser and/or the platform where the live lesson is delivered. LingoClinic is not responsible for third-party live lesson cancellations, make-ups, or refunds unless LingoClinic explicitly operated or facilitated that live lesson under a separate agreement.
8.5 Connectivity and access responsibility: Parents are responsible for their internet connection and access devices. LingoClinic is not liable for inability to access Content due to local connectivity issues or device problems.


9. Recordings & Marketing Use for Hosted Content

9.1 SEALessons.com hosts on-demand Content created or commissioned by LingoClinic (and potentially by advertisers who grant LingoClinic hosting rights). On-demand videos on SEALessons.com may include images or audio of Tutors and Students where permitted.
9.2 By registering and consenting at signup, the Parent grants LingoClinic a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, distribute, publish, modify, adapt, and otherwise exploit any audio or visual content of the Student that appears in Content hosted on SEALessons.com, including for marketing, advertising, training, and promotional purposes. The Parent also grants the right to use the Student’s first name or initials in such uses unless otherwise agreed in writing.
9.3 If an advertiser uploads Content to SEALessons.com, the advertiser must have obtained all necessary permissions and releases from any students or parents appearing in the uploaded Content and must grant LingoClinic the rights necessary to host and use the Content as described above. Advertisers represent and warrant that they have obtained such permissions. LingoClinic is not liable for advertiser failure to secure permissions.
9.4 Parents who object to marketing use of Content featuring their child must notify lingoclinic@dottcorp.com before the first Content upload or Hosting activation. Requests made after hosting or publication may be difficult to fully accommodate.


10. Conduct, Safeguarding & Reporting on Platform

10.1 Parents and Students must follow code of conduct in forum posts, messaging and marketplace interactions. No harassment, abusive language, or posting of personal contact info in public forums. LingoClinic may remove content and suspend users who breach rules.
10.2 If a Student or user discloses harm or abuse, follow the platform guidance: do not investigate — report immediately to LingoClinic support and the Head of Safeguarding. LingoClinic will export logs and, where required by law, report to authorities.
10.3 Marketplace disputes or safety concerns should be reported to support via lingoclinic@dottcorp.com; we will log and act per our policies but are not liable for user-to-user disputes.


11. Intellectual Property & User Content

11.1 LingoClinic owns or licenses the Content hosted on SEALessons.com. Parents and Students receive a limited license to access Content for personal, non-commercial educational use.
11.2 Content uploaded by advertisers (including video lessons) must be owned by the advertiser or properly licensed; advertisers grant LingoClinic a license to host and use such Content as set out in Section 9. Advertisers warrant they have clearance for any student images or audio used.
11.3 User Content (forum posts, marketplace listings) remains owned by the poster but is licensed to LingoClinic for platform operation and promotion. LingoClinic may remove content that violates Terms.


12. Privacy, Data Processing & Security

12.1 Our Privacy Policy explains what personal data we collect, how we use it, retention periods, and parental rights (access, correction, deletion). It is incorporated into these Terms by reference.
12.2 LingoClinic retains consent logs, access records, billing records, and other operational data for compliance and legal defense. Parents may request deletion via the Parent Portal subject to retention limits required by law.
12.3 We use reasonable technical and organisational measures to protect data. You are responsible for account security, including keeping passwords confidential.


13. Warranties; Disclaimers

13.1 SEALessons.com and Content are provided "AS IS" without warranties. LingoClinic does not guarantee any specific academic outcome. Parents should set reasonable expectations; incremental improvements take time and effort.


14. Limitation of Liability; Indemnity

14.1 LingoClinic’s aggregate liability for direct damages is limited to the total fees you paid for SEALessons.com Content or services in the prior 12 months. To the maximum extent allowed by law, LingoClinic is not liable for indirect or consequential damages.
14.2 You indemnify LingoClinic against claims arising from your breach of Terms or your misuse of the platform.


15. Suspension, Termination & Account Closure

15.1 LingoClinic may suspend or terminate Accounts for breach, misuse, safety concerns, or non-payment. Termination for breach may occur without refunds except as required under Section 8.
15.2 Account closure requests can be made via the Parent Portal; LingoClinic will retain required records as set out in the Privacy Policy.


16. Third-Party Services; Links; Live Lessons Off-Platform

16.1 SEALessons.com integrates with third-party services (payment processors, video-hosting/CDN, external advertiser platforms). You must follow third-party terms. LingoClinic is not responsible for third-party outages.
16.2 When an advertiser lists live lessons or third-party services, those sessions may occur off-platform (for example SEALessons.guru or the advertiser’s site). In those cases, the advertiser’s or third-party platform’s terms control refunds, cancellations, and policies for those live lessons; LingoClinic is not responsible unless LingoClinic expressly agreed in writing to operate the live sessions.


17. Dispute Resolution; Governing Law

17.1 These Terms are governed by the laws of Trinidad & Tobago. Parties will negotiate disputes in good faith for 30 days; unresolved disputes may proceed to mediation or the courts of Trinidad & Tobago.


18. Modifications to the Platform or Terms

18.1 We may change the platform, Content, or Terms. Material changes will be posted; continued use constitutes acceptance.


19. Notices; Contact

20. Miscellaneous (Severability; Entire Agreement)

20.1 If any provision is invalid, the remainder remains in effect. These Terms and the Privacy Policy are the complete agreement between you and LingoClinic.
